To the maximum extent permitted by applicable law, DealCraft Institute shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use our services, any conduct or content of any third party on our services, or any unauthorized access, use, or alteration of your transmissions or content.

10. Consequential Damages Exclusion

In no event shall our total liability to you for all damages, losses, and causes of action exceed the amount you have paid to DealCraft Institute in the twelve months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.

11. Force Majeure Provisions

DealCraft Institute shall not be liable for any failure to perform its obligations where such failure results from circumstances beyond our reasonable control, including but not limited to acts of nature, war, terrorism, riots, civil unrest, government action, labor disputes, epidemics, pandemics, failure of telecommunications or internet services, or other force majeure events.

Legal Framework and Dispute Resolution

12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Tokyo, for the resolution of any disputes arising out of or relating to these Terms and Conditions or your use of our services.

13. Dispute Resolution Procedures

In the event of any dispute, controversy, or claim arising out of or relating to these Terms and Conditions, the parties agree to first attempt to resolve the matter through good faith negotiations. If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. 18. Assignment

You may not assign, transfer, or delegate any of your rights or obligations under these Terms and Conditions without our prior written consent. We may freely assign these Terms and Conditions and any rights granted hereunder to any third party without restriction. Any attempted assignment in violation of this section shall be null and void.
